The Limitations of Generic AI Governance Frameworks
Having worked closely with major advisory firms over the years, I’ve seen first-hand the limitations of their AI governance frameworks for most organisations. While these firms are excellent at what they do, with deep resources and broad expertise, their advice is often built for scale, geared towards the largest enterprises with extensive resources to deploy. A Practical Approach to AI Governance
So what does practical, actionable AI governance look like for boards? In my experience, it comes down to four key areas:
Strategic Alignment
Let’s be real: AI projects can often get a “free(ish) pass” compared to other technology initiatives. It’s easy to get swept up in the hype of a flashy chatbot or tune out when someone starts rattling off machine learning jargon. But letting AI off the hook is a recipe for trouble. The same strategic standards apply to AI as any other major investment.
❓ No free passes: Is our AI project getting by on novelty alone, or does it have a rock-solid business case? Have we subjected it to the same rigorous ROI and TCO analysis as our other tech investments?
❓ Who’s in the driver’s seat: Is this someone’s pet project. Is the business fully bought in? Is IT? Embrace the pushback. If teams are talking about data and security issues, unpack that. It’s normally NOT obstructionism.
❓ Competitive realities: If we’re doing this to keep up with rivals, let’s get specific. Which competitors are actually winning with AI, and how? What hard evidence do we have that their success is really AI-driven (beyond the bumper sticker and ‘whitepaper’ written by whichever hyperscaler funded the project)?
❓ Organizational readiness: Do we have the right skills, processes, and culture to make this AI project successful? Or are we just throwing it over the wall and hoping for the best?
💡 Pressure-test those AI pitches. Dig into the details and demand specifics. You wouldn’t give a blank check to any other major tech initiative – don’t make an exception for AI.
The AI hype cycle is in full swing, and it’s easy to get caught up in the frenzy. But as a board, your job is to be the voice of reason. By asking tough, pointed questions and holding AI to the same strategic standards as any other investment, you can cut through the noise and keep your organization grounded. Governance Structure
AI governance demands new oversight structures that balance innovation with robust risk management. One aspect you’ll see in a lot of advisory perspectives around AI is implementing dedicated AI-related committees.
However, most boards don’t have a dedicated Digital Transformation or Technology committee. A recent McKinsey & Company survey found that only 17% of enterprise-scale boards have a technology committee, let alone one focused on AI.
💡 Rather than immediately implementing an AI-specific committee, work through whatever route normally deals with digital transformation initiatives – but ensure the teams submitting business plans know the board will be scrutinising the AI strategy in detail (back to ‘no free passes’ point above.

Risk Management
AI introduces new dimensions of risk that traditional frameworks may miss. Algorithmic bias, data privacy, and unintended consequences require AI-specific risk management approaches.
💡 Your internal audit and compliance teams are often a great starting point, especially around issues like intellectual property, liability, and regulatory risk.

Implementation Planning
Translating AI governance frameworks into action is where the rubber meets the road. Boards must demand implementation plans that are phased, realistic, and aligned with organisational capabilities.
💡 Crucially, boards should lean heavily on feedback loops around early AI projects. Regularly ask: What are we learning? What’s working, and what’s not? Where are our real capability gaps?
💡 Don’t wait until individual projects fail or mature. Have a regular overall check-in on the portfolio.
This iterative approach allows for course correction and reduces the risk of an entire AI portfolio failing simultaneously. Additionally, consider the implications of “buy” versus “build” approaches to AI. Buying off-the-shelf solutions can yield different capabilities than building in-house – neither is inherently better, but the consequences are important to understand.
