Microsoft Copilot is being deployed rapidly across Irish organisations, often with limited board visibility. Here are the governance questions that should be answered before any enterprise-wide rollout.
Microsoft 365 Copilot is now the most widely discussed AI tool in Irish organisations. It is embedded in the productivity software that most knowledge workers already use — Word, Outlook, Teams, Excel — which makes it easy to adopt and, in some organisations, difficult to govern.
The deployment pattern we are observing is consistent: IT enables Copilot, a pilot group uses it, the licence count grows, and the board is informed after the fact — if at all. This is a governance gap, and it is one that boards should be actively closing.
Why Copilot requires board-level attention
Microsoft Copilot is not a simple productivity add-on. It is a system that processes organisational data — emails, documents, meeting transcripts, calendar data — to generate outputs. The governance implications follow from what that means in practice.
Data exposure risk. Copilot surfaces information that it has access to within your Microsoft 365 environment. If your information architecture has not been well-maintained — if permissions are broader than they should be, if sensitive data is not appropriately classified — Copilot will surface information to users who should not see it. This is not a Copilot failure; it is a data governance failure that Copilot makes visible.
Before any meaningful Copilot deployment, organisations need to understand the state of their M365 information architecture. Most find it is not in the shape they assumed.
EU AI Act classification. Depending on how Copilot is used, it may or may not constitute a high-risk AI system under the Act. Copilot features that assist in employment-related decisions — drafting performance reviews, summarising recruitment materials — are closer to the high-risk boundary than general writing assistance. Organisations need to assess specific use cases, not the product as a whole.
Employee data and privacy. Copilot processes employee communications. In Ireland, the processing of employee data through AI systems raises obligations under GDPR and the Data Protection Act 2018. Employees should know what is being processed and for what purpose.
Meeting intelligence. Copilot's meeting transcription and summarisation features generate records of verbal conversations that were not previously recorded in text form. The governance implications — for board meetings, for sensitive negotiations, for employee conversations — have not been thought through in most organisations.
The questions boards should ask management
A board that has approved or is considering approving Microsoft Copilot deployment should be in a position to ask — and receive clear answers to — the following questions.
What is the current state of our M365 information architecture? If permissions are broader than necessary, Copilot will surface inappropriate information. Has a permissions review been completed, or is it planned before rollout?
What use cases have been defined? Copilot should not be deployed as a general capability without defined use cases. Which workflows are being targeted, and why?
Have those use cases been assessed for regulatory risk? Specifically, have use cases that relate to employment decisions, customer credit, or other regulated domains been assessed against the EU AI Act's high-risk classification framework?
What data protection assessment has been completed? Has a Data Protection Impact Assessment been conducted for the Copilot deployment? If not, why not?
What employee communication has taken place? Have employees been informed that their communications may be processed by AI systems? In many Irish organisations, this disclosure has not been made.
What monitoring is in place for AI-generated outputs? If Copilot is generating outputs that inform business decisions, what oversight exists to catch errors, biases, or inappropriate content?
Who owns AI governance for this deployment? Is there a named individual accountable for Copilot governance, or has responsibility been left undefined?
The readiness gap in most organisations
In our diagnostic work with Irish organisations, we consistently find the same pattern: Copilot deployment has progressed faster than governance. Licences have been acquired, pilots have run, and in some cases organisation-wide rollouts are in progress — but the information architecture has not been reviewed, use cases have not been formally defined, and no regulatory assessment has been conducted.
This is not unusual. It reflects the speed at which Microsoft has made Copilot available and the commercial pressure to be seen to be adopting AI. But it creates real exposure — regulatory, reputational, and operational.

The right sequence for a Copilot deployment is:
- Assess the current M365 information architecture and identify permissions issues
- Define specific use cases and assess each for regulatory risk
- Conduct a Data Protection Impact Assessment
- Establish an oversight and monitoring framework
- Communicate with employees
- Deploy in stages, with clear success metrics and escalation paths
This sequence is not slow. It is what enables a deployment that holds up — technically, legally, and reputationally.
